Castle Brands, Inc.

Castle Brands, Inc., a global producer and marketer of premium spirit brands was formed in July 2003 to effect the merger of Great Spirits Company LLC (GS), based in New York, and Roaring Water Bay Spirits Group Limited (RWB), based in Dublin, Ireland. Castle Brands offers a focused portfolio of award-winning premium spirits brands, including its flagship brand, Boru Vodka, the world's only premium vodka distilled in Ireland and the fastest growing premium vodka brand in Western Europe.

Boru Vodka was developed and introduced by RWB in 1998. In 2000, GS purchased 50% of the brand in the U.S. and became the exclusive distributor of Boru Vodka in the U.S. The management teams of GS and RWB recognized that in order to build one of the leading premium spirits companies in the world, there needed to be global ownership of the brands under one holding company. As such, Castle Brands sought to raise $12.5 million to fund the merger and embark upon an aggressive sales and marketing campaign in the U.S. After interviewing 15 firms, Castle Brands selected and engaged Watch Hill Advisors to raise capital from its deep network of top-tier institutional and strategic individual investors capable of assisting the Company in executing its growth strategy. We were successful in raising the necessary capital and, in fact, increased the offering to $16.5 million enabling the Company to "supercharge" its sales and marketing efforts in the U.S.

On April 5, 2006, Castle Brands successfully priced its initial public offering and issued 3.5 million shares of common stock. Castle Brands currently trades on the American Stock Exchange under the symbol "ROX".
