On March 12, 2004, ChoicePoint Inc. (“ChoicePoint”) announced the acquisition of iMapData Inc., (“iMapData”) a privately-held information and analytics company based in Tysons Corner, Virginia. iMapData provides critical information to businesses and government agencies through the collection, display and analysis of public, proprietary and other client specific data. The iMapData platform takes infrastructure or industry (such as the location of an electrical grid) and economic, business or demographic data (such as population, income, age, race or crime data) and displays these data points on maps of a given geographic area or market. These complex data inputs are processed and delivered via a Webbased platform to the user's desktop in multicolor maps and reports that provide an instant visual representation of the data. This mapping capability permits clients to make better informed business and strategic decisions.

ChoicePoint (NYSE:CPS) is a leading provider of identification and credential verification services to business, government, non-profit organizations and individuals. It operates in three groups: Insurance Services, Business & Government Services and Marketing Services. Watch Hill Partners advised iMapData on its acquisition by ChoicePoint. ChoicePoint was approached on an exclusive basis given its focus on data processing and security and prior indications of interest in iMapData. We developed a strategy for iMapData to demonstrate its value proposition to ChoicePoint in such a way as to maximize shareholder value in a non-auction process. This acquisition was expected to expand ChoicePoint's product offerings to existing government customers and introduce iMapData's technology offerings into a broader business and commercial marketplace.
