Investcorp International - FleetPride Corporation

In April 2006, Investcorp International Inc. (“Investcorp”) engaged Watch Hill Partners to serve as its exclusive buy-side financial advisor on Investcorp's acquisition of FleetPride Corporation (“FleetPride”). FleetPride is the nation's largest independent distributor of aftermarket heavy duty truck and trailer parts. FleetPride has 156 distribution branches strategically located throughout the country, offering a broad spectrum of heavy duty truck and trailer replacement parts such as brake and wheel end parts, drive train parts, engine-related components, hydraulic parts, suspension parts and electrical products.

After the majority shareholder, Aurora Capital Partners (“Aurora”), launched an auction process to sell the company, Investcorp was one of a number of private equity firms interested in acquiring the company. Investcorp's decision to engage Watch Hill was based on our prior experience in the transportation industry and our proven ability to navigate an auction process successfully. We quickly assembled a team with specific transportation industry experience along with several leading transportation industry executives from our CEO network. This team advised Investcorp on developing a winning strategy that Aurora and FleetPride management found compelling financially and operationally. Because of the detailed strategy we developed, Investcorp was able to differentiate itself in an extremely competitive auction process and convince Aurora and Fleetpride management that it was the best partner in terms of strategy and value.
